Terms of Service

1. Parties and agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Sycamore Management Consulting L.L.C. dba restoful, a limited liability company registered in the United Arab Emirates (“restoful”, “we”, “us”, “our”), the operator of the restoful platform(“the Service”) available at restoful.com.

By creating an account, clicking “I agree”, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

  • You must be at least 18 years old and have legal capacity to enter into contracts.
  • If you are accepting on behalf of a business, you represent that you have authority to bind that business.
  • The Service is not available in jurisdictions where its use would be prohibited by law.

3. The Service

restoful is a software-as-a-service platform that allows restaurant operators to create and manage digital menus, generate QR codes, accept online orders, manage reservations, and access AI-powered tools. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable prior notice, except where emergency circumstances require immediate action.

We may offer free trials, beta features, or promotional plans. These may be subject to additional terms communicated at the time of offer.

4. Accounts

  • You must provide accurate, current, and complete information when registering.
  • You are solely responsible for safeguarding your login credentials and all activity under your account.
  • You must notify us immediately at security@restoful.com upon discovering any unauthorised use.
  • You may not create multiple accounts to abuse trials, credits, promotional offers, rate limits, or access controls.
  • We may suspend or terminate accounts that violate these Terms, at our sole discretion, with or without prior notice depending on severity.

5. Subscriptions and billing

  • Paid plans are billed monthly or annually as selected at checkout. All fees are stated in USD.
  • A 7-day free trial may be available on paid plans. A valid payment method is required to start a trial unless checkout expressly states otherwise. Unless you cancel before the trial ends, your selected paid subscription will begin automatically and your payment method will be charged according to the plan selected at checkout.
  • Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
  • Each plan includes usage limits on certain features. QR code generation is limited to 10 QR codes on Starter and 30 QR codes on Growth; the Pro plan includes a custom number of QR codes. Other features may carry plan-specific limits as described on our pricing page. We may adjust plan limits with reasonable prior notice.
  • You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.
  • We reserve the right to change pricing with at least 30 days' written notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
  • All subscription payments are processed by Stripe, Inc. By providing payment details you also agree to Stripe's terms of service and privacy policy.
  • Restoful charges a 1% platform fee per online card transaction. Standard Stripe processing fees apply separately and vary by country and card type. Additional third-party charges, refund fees, chargeback fees, currency-conversion fees, taxes, or payment-network fees may also apply.
  • The online card-payment feature relies on Stripe Connect and is only available to restaurants located in the 44 countries Stripe currently supports: Australia, Austria, Belgium, Brazil, Bulgaria, Canada, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Gibraltar, Greece, Hong Kong, Hungary, Ireland, Italy, Japan, Latvia, Liechtenstein, Lithuania, Luxembourg, Malaysia, Malta, Mexico, Netherlands, New Zealand, Norway, Poland, Portugal, Romania, Singapore, Slovakia, Slovenia, Spain, Sweden, Switzerland, Thailand, United Arab Emirates, United Kingdom, United States. All other features of the Service are available worldwide; restaurants outside these countries can still take orders and accept payment in person. Supported countries may change as Stripe's availability changes.
  • You are responsible for all applicable taxes. Where required by law, we will collect and remit VAT or similar taxes.
  • If a payment fails, we may suspend access to the Service until outstanding amounts are settled.

6. AI credits

Certain plans include a monthly allowance of AI credits for features such as Design Studio, AI menu photography, AI editing, translations, and other AI-powered tools. Credits are usage units, not currency, and have no cash value.

  • Credits are consumed only when an AI request completes successfully. Failed AI requests do not consume credits.
  • AI menu extraction is included with eligible plans and does not consume AI credits.
  • Monthly credits reset at the start of each billing period, do not roll over, and are not refundable, transferable, or redeemable for cash.
  • Pro credit allowances may be custom and may be set out separately in an order form, written agreement, or account communication.
  • We may calculate credit usage based on estimated third-party AI model, infrastructure, and processing costs.
  • We may update credit allowances, usage rates, or credit rules with reasonable notice. If your account uses all included credits, access to certain AI features may be limited until your next billing period or until you purchase additional credits or upgrade your plan.

7. Acceptable use

You agree not to use the Service to:

  • Upload content that is illegal, fraudulent, defamatory, obscene, or that infringes any third-party intellectual property or privacy rights.
  • Publish menus or listings for businesses that do not exist or that you are not authorised to represent.
  • Attempt to reverse-engineer, decompile, scrape, or disrupt the Service or its underlying infrastructure.
  • Use automated means (bots, scrapers, scripts) to access the Service without our prior written consent.
  • Use the Service to transmit spam, phishing messages, or unsolicited commercial communications.
  • Circumvent or attempt to circumvent any rate limits, access controls, or security features of the Service.
  • Use the AI features to generate content that is harmful, deceptive, or that violates these Terms.
  • Violate any applicable local, national, or international law or regulation.

These rules are expanded in our Acceptable Use Policy, which forms part of these Terms and sets out detailed rules for content, platform integrity, fair use of unlimited and metered features, AI features, payments, customer data, and enforcement.

We reserve the right to remove content or suspend accounts that violate these rules without prior notice. Serious or repeated violations may result in permanent termination and referral to law enforcement.

8. Your content

You retain full ownership of all content you upload to restoful (menu items, descriptions, images, prices, etc.). By uploading content you grant restoful a non-exclusive, worldwide, royalty-free licence to store, reproduce, display, and process that content solely as necessary to provide and improve the Service.

You represent and warrant that: (a) you own or have the necessary rights to all content you upload; (b) your content does not infringe any third-party rights; and (c) your content complies with all applicable laws.

You are solely responsible for ensuring that your published menu content — including prices, descriptions, ingredients, and allergen information — is accurate, current, and compliant with applicable food-labelling and consumer-protection laws in every jurisdiction where your restaurant operates. restoful is not liable for any errors, omissions, or regulatory non-compliance in content you publish.

9. Allergen and food safety disclaimer

restoful is a technology platform, not a food business. We do not prepare, handle, or deliver food. Menu content — including allergen and dietary information — is provided entirely by the restaurant operator and has not been verified by us.

AI-generated menu descriptions, translations, and suggestions may contain errors or omissions regarding ingredients and allergens. Restaurant operators must review and verify all AI-generated content before publication.

Customers with food allergies, intolerances, or other dietary requirements should always contact the restaurant directly before ordering. We disclaim all liability for any illness, allergic reaction, or harm arising from food served by a restaurant using the Service.

10. AI-generated content

restoful uses third-party AI services to generate menu designs, translations, images, and other content. AI-generated output is probabilistic and may contain inaccuracies, hallucinations, or content that is unsuitable for publication.

You are responsible for reviewing, editing, and approving all AI-generated content before it is published. We make no warranties — express or implied — about the accuracy, completeness, originality, or fitness of AI-generated output. Ownership of AI-generated content is subject to the terms of the underlying AI provider and applicable law; we make no representations about intellectual property rights in such content.

11. Orders and reservations

The ordering, delivery, and reservation features facilitate communication between restaurant staff and their customers. restoful is not a party to any transaction between a restaurant and its customers. We act solely as a technology intermediary.

We are not responsible for order fulfilment, food quality, payment disputes, cancellations, no-shows, or any other issue arising from a restaurant-customer interaction conducted through the Service. Any disputes regarding orders or reservations must be resolved directly between the restaurant and the customer.

Where delivery tools are enabled, delivery may be fulfilled by the restaurant, its own drivers, or a third-party delivery provider. restoful does not employ delivery drivers, guarantee delivery times, or assume responsibility for courier conduct, failed deliveries, damaged items, incorrect addresses, delivery-zone settings, delivery fees, tips, refunds, or customer disputes arising from delivery.

12. Intellectual property

The restoful platform — including its source code, design, branding, trademarks, and documentation — is owned by restoful and is protected by UAE, US, and international intellectual property law. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, modify, distribute, sell, sublicense, or create derivative works of any part of the platform without our prior written permission.

DMCA: We respect copyright law and respond to valid notices of alleged infringement in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512). To submit a takedown notice or counter-notice, see our DMCA Policy. Accounts of repeat infringers will be terminated.

13. Privacy and data protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. If you are located in the European Economic Area, the United Kingdom, California, or the UAE, additional rights and obligations apply as described in the Privacy Policy. By using the Service, you agree to our privacy practices as described therein.

14. Third-party services

The Service integrates with third-party services including payment processors, database providers, hosting providers, AI providers, email providers, social platforms, mapping providers, delivery providers, and point-of-sale providers. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of any third-party service provider.

15. Customer communications

If you use restoful to send emails, marketing messages, reservation messages, order updates, or other communications, you are responsible for ensuring that those communications are lawful and that you have any required consent from recipients. You must comply with all applicable anti-spam, marketing, privacy, and electronic-communications laws, honour opt-out and unsubscribe requests promptly, and not use the Service to send misleading, unlawful, or unsolicited messages.

16. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. You use the Service at your own risk.

17. Limitation of liability

To the fullest extent permitted by applicable law, restoful and its directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost profits, lost revenue, lost data, loss of goodwill, or business interruption — arising out of or related to your use of or inability to use the Service, regardless of the cause of action and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100. This limitation applies even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain liability limitations; in such cases our liability is limited to the minimum extent permitted by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless restoful and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property or privacy rights.

19. Termination

You may terminate your account at any time by following the cancellation process in your account settings or by emailing billing@restoful.com. Termination does not entitle you to a refund for any prepaid fees.

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 8, 12, 16, 17, 18, 20, and 21 survive termination.

20. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-law principles.

Informal resolution: Before initiating formal proceedings, you agree to contact us at legal@restoful.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If informal resolution fails, any dispute shall be finally resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules. The seat of arbitration shall be the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates. The tribunal shall consist of a single arbitrator, and the language of the arbitration shall be English. The arbitral award shall be final and binding. Judgment may be entered in any court of competent jurisdiction.

Class action waiver: You agree that any arbitration or court proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action.

EU / UK consumers: Nothing in this section limits any mandatory statutory rights you have as a consumer under the laws of your country of residence, including rights under the EU Alternative Dispute Resolution Directive or UK consumer protection legislation.

21. General provisions

  • Entire agreement: These Terms (together with the Privacy Policy and any additional terms notified to you) constitute the entire agreement between you and restoful regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, infrastructure failures, or government actions.
  • Language: These Terms are in English. Any translation is provided for convenience only; in the event of conflict, the English version prevails.

22. Changes to these Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice by email to your registered address or by posting a prominent notice on the platform. Minor changes (e.g., corrections of typographical errors, clarifications that do not alter your rights) take effect immediately upon posting. Continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms.
